Small Biz Basics: The Legal Foundations
Small Biz Basics: The Legal Foundations
Are you an artist who wants to start selling products?
Do you want to start selling homemade goods?
Do you want to formally register yourself for contract work?
GA Creative Consulting works with many small artists and business owners to build a strong foundation and develop strategies to sustain and scale. But how do you even start?
Starting a business can be a headache, and it’s a lot to juggle, so here are some basics to get you started.
Choose a Business Type: LLC vs. Sole Proprietorship vs. S-Corp
Sole Proprietorship: This business type requires no state registration or paperwork. However, your personal assets are exposed since you and your business are considered one.
LLC (Limited Liability Company): This is a formal business structure that is registered with your state. It separates your personal assets from business liabilities.
S Corp: This is a special tax status, not a basic state business type (though an LLC can elect to be taxed as an S corp). It requires strict corporate formalities.
Register your Business
Articles of Organization: The initial document filed with your Secretary of State to register your business.
Requires: a proposed business name, business address, mailing address, registered agent details, a purpose statement, and a management structure.
Statement of Information: A business information update that must be filed after state registration and renewed every two years.
Requires: Legal business name, state entity number, executive officer details, and registered agent address.
Operating Agreement: An internal document that outlines member responsibilities, ownership shares, and operating rules.
Note: While you typically don't file an Operating Agreement with the state, keeping one is vital for liability protection and operations management.
Acquire Other Documents
Local & State Business Licenses: Most product/service entities will require a general business license tied to your operating location. Specific industries may require additional regulatory permits.
Doing Business As (DBA) / Fictitious Name: File a DBA if you plan to operate or brand your business under a name different from your registered name.
Location & Zoning Laws: Verify local zoning ordinances for your workspace. If you run your business from home, you may need to apply for a Home Occupation Permit (HOP) or similar approval.
Prepare your Finances
Keep your business and personal finances separate! This is necessary for tax reporting and monitoring business cash flow. It also helps protect you against legal liabilities.
Employer Identification Number (EIN): Obtain an EIN from the IRS after your business registration is approved. This functions as your business’s tax ID (similar to an SSN for individual tax forms).
Business Bank Account: Use your approved Articles of Organization and EIN to set up dedicated business checking and savings accounts. Never mix personal and business funds!
Insurance & Employer Basics: Secure appropriate business insurance and check state rules regarding workers' compensation if you plan to hire employees or contractors.
